Terms of Service
These Terms of Service govern your access to and use of Setup Guard, including the website, the Procore Marketplace app, and related services made available by United Compute LLC. By accessing or using Setup Guard, you agree to these terms.
1. Eligibility and authority
You may use Setup Guard only if you can form a binding contract and are permitted to use the service under applicable law. If you use Setup Guard on behalf of an organization, you represent that you have authority to bind that organization to these terms.
2. Your use of Setup Guard
You may use Setup Guard only in compliance with these terms, applicable law, and the rules of any third-party platform connected to the service, including Procore.
You are responsible for:
- keeping your account credentials secure
- making sure the Procore companies, projects, users, permissions, custom fields, configurable fieldsets, settings, and related data you connect are used lawfully
- maintaining accurate configuration and permissions in your Procore account and connected company
- all activity that occurs under your account, connected company, or organization
3. Customer data
You retain ownership of the data you submit to Setup Guard or make available through your use of the service. You grant us the limited rights needed to host, process, transmit, and display that data solely to operate, secure, and improve Setup Guard.
You are responsible for obtaining all permissions and notices needed for the data you place into the service.
4. Acceptable use
You may not:
- use Setup Guard to violate law or the rights of others
- interfere with or disrupt the service or its infrastructure
- attempt to gain unauthorized access to accounts, connected Procore companies, or systems
- reverse engineer or copy the service except as allowed by law
- use the service to transmit malware, spam, or fraudulent content
5. Third-party services
Setup Guard may depend on or interoperate with third-party services, including Procore. Your use of those services is governed by their separate terms and policies. We are not responsible for third-party services or for outages, changes, or actions taken by those providers.
6. Intellectual property
Setup Guard, including its software, branding, documentation, and related materials, is owned by United Compute LLC or its licensors and is protected by intellectual property laws. These terms give you a limited, non-exclusive, non-transferable, revocable right to use the service during the period your access is permitted.
7. Feedback
If you provide suggestions, ideas, or feedback about Setup Guard, we may use that feedback without restriction or compensation to you.
8. Disclaimers
Setup Guard is provided on an “as is” and “as available” basis to the maximum extent permitted by law. We do not guarantee that the service will be uninterrupted, secure, or error free, or that it will meet every specific workflow or compliance requirement you may have.
9. Limitation of liability
To the maximum extent permitted by law, United Compute LLC and its affiliates, licensors, and service providers will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenues, data, goodwill, or business opportunities arising out of or related to your use of the service.
To the maximum extent permitted by law, the total liability of United Compute LLC and its affiliates, licensors, and service providers for all claims arising out of or related to the service will not exceed the amounts you paid for the service during the twelve months before the event giving rise to the claim.
10. Suspension and termination
We may suspend or terminate your access to Setup Guard if we reasonably believe:
- you violated these terms
- your use creates security, legal, or operational risk
- continued access could harm the service or other users
You may stop using Setup Guard at any time.
11. Changes to the service or terms
We may modify the service or these terms from time to time. If we make a material change, we may provide notice through the service, the website, or another reasonable method. Your continued use after the effective date of updated terms constitutes acceptance of the revised terms.
